Terms of Service

1. The service

ForageHive connects to your Amazon Advertising and Selling Partner accounts through Amazon’s official APIs to surface analytics and generate advertising recommendations. By default the service is advisory: it proposes changes for your review, and nothing is applied to your Amazon account unless you approve it (per action or in bulk) or make the change yourself in the app.

Optional automation. You may choose to enable automation for a connected account. If you do, ForageHive can apply certain changes without a separate approval for each one: changes you have already approved are executed for you, and, if you additionally turn on autonomous rules, individual rules that have earned a proven track record on your account can act on their own. Automated activity is subject to software-enforced limits (including per-change caps and a daily cap on autonomous changes), is recorded in an audit log with its before-and-after values, and can be reversed where the change type supports one-click undo. Automation is off by default, can be turned off per account at any time, and is subject to a global kill switch we maintain. You are responsible for the automation settings you choose to enable.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, billing & pricing

Paid plans are billed in advance on a monthly or annual basis through our payment processor. Base pricing follows the ForageHive Hive Intelligence Score model: the tier open at the time your first payment confirms is the rate you keep for as long as your subscription remains continuously active (a “rate lock”). If you cancel, the rate lock is forfeited permanently; resubscribing is at the then-current open tier. Usage add-ons are not rate-locked. Fees are non-refundable except where required by law. We may change prices for new subscriptions or future billing periods with notice.

4. Your Amazon connection & data

You authorize ForageHive to access your connected Amazon data through official APIs solely to provide the service. You retain ownership of your data. You may disconnect an Amazon account at any time, which revokes our access and removes the stored credentials. Our handling of your data is described in our Privacy Policy. Any cross-seller insights are derived only from aggregated, anonymized patterns.

5. Acceptable use

You agree not to misuse the service, including: violating Amazon’s terms or applicable law; attempting to access another customer’s data; reverse-engineering, scraping, or overloading the service; or reselling access without authorization. You are responsible for your own compliance with Amazon’s policies.

6. Intellectual property

The ForageHive platform, software, and brand are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service per these Terms. You retain all rights to your own data and content.

7. AI recommendations — no guarantee

Recommendations, forecasts, and analytics are decision-support tools, not guarantees of any result. Advertising outcomes depend on factors outside our control. You are solely responsible for the changes you choose to approve or make in the app, and for the changes applied by any automation you choose to enable.

8. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, ForageHive and NOV LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service will not exceed the amounts you paid us in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold harmless ForageHive and NOV LLC from claims arising out of your use of the service, your data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other users. Sections that by their nature should survive termination will survive.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above and, where appropriate, communicated to you directly. Continued use after a change means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the United States and the state in which NOV LLC is organized, without regard to conflict-of-laws principles.
